Flexible Payment Terms for License

• BRS offers four methods for payment of License Fee. These four methods have been developed so licensees with lower standing seam roof volumes can pay for their investment in the technology and equipment to produce the BRS roof systems through increased profit from existing standing seam roof sales that they are currently buying out.

Option 1 $160,000 license fee with clips at base price. No clip surcharge.

Option 2 $100,000 license fee with clips at base price, + $0.10/per clip surcharge

• The $0.10/per clip surcharge will only be applied until 90% of clip surcharge equals $60,000, then the license fee is paid and there is no license fee clip surcharge. 
  
  Note:  License fee clip surcharge can be removed from clip purchases at
  any time by payment of a sum equal to the $160,000 license fee less the original payment plus 90% of the total clip surcharge paid to date.

Option 3 $60,000 license fee with clips at base price, + $0.15/per clip surcharge

• The $0.15/per clip surcharge will only be applied until 90% of clip surcharge equals $40,000, then clip surcharge is reduced to $0.10 until 90% of clip surcharge equals $60,000, then the license fee is paid and there is no license fee clip surcharge.

Option 4 $40,000 license fee with clips at base price, + $0.20/per clip surcharge

• The $0.20/clip surcharge will only be applied until 90% of clip surcharge equals $20,000, then clip surcharge is reduced to $0.15/clip until 90% of clip surcharge equals $40,000, then clip surcharge is reduced to $0.10/clip until the total of clip surcharges equal $60,000, then the license fee is paid and there is no license fee clip surcharge.

Licensee who selects Payment Option 2, 3 or 4 will have 90% of the amount of the Clip Surcharge applied toward the payment of the Basic License Fee. When the total accumulated amount of the clip Surcharge fees applied to the Basic License Fee, plus the Payment Option amount originally paid, is equal to the next higher Payment Option level the clip surcharge for the higher Payment Option will be used for clip purchases. This way a licensee will be able to pay for the license with shipments of the roof system.

Licensee may at any time pay the difference between the Basic License Fee less the Payment Option originally paid and the Clip Surcharge fees applied toward the license accumulated to date and eliminate all clip surcharges.

Notes: 

1. License fee is a one-time fee for the transfer of technology.  License fee includes the production of panels with up to two roll forming machines produced by BRS approved manufacturers; additional machines may be purchased and commissioned at any location for an additional license fee of $5,000.00.
2. Clips for these licensed systems must be purchased from stamping
   companies approved by BRS. Clip prices are provided on a separate sheet.
3. BRS reserves the right to change this fee schedule at any time.
